Terms and Conditions

Welcome to TechTango, a division of LexXP Inc., a Delaware corporation ("we," "us," or "our").   By accessing our website, registering for our Services, or engaging with our content, you agree to the following Terms and Conditions.  Please read them carefully.  If you do not agree with these Terms and Conditions, you may not use our Services.  These Terms and Conditions govern, incorporate, and should be read in conjunction with our Privacy Policy,  Legal DIsclaimer, and Technology Providers terms and disclaimers.  All defined terms used herein shall be as defined therein. 

TechTango offers:

• Weekly Drop-In Sessions: subscription-based group learning sessions.
   
• Deep-Dive Courses: structured, multi-week learning programs (typically 4–12 weeks).
   
• Bassline Bootcamps: intensive, short-term training experiences.

• SoundCheck Security Trainings/Tabletops:  B2B cybersecurity role-playing training.\

• Consulting, Training and Speaker Services: Customized services for legal professionals and businesses.
   
• Free Content: newsletters, blog posts, videos, and podcasts.
   

We may update or discontinue any Service and these Terms and Conditions at any time.

You must be at least 18 years old to register for paid Services or under the direct supervision of a parent or legal guardian over the age of 18.  By using our Services, you represent that you meet the foregoing requirement.

• Weekly Drop-Ins and Subscriptions: These Services are billed on a recurring monthly basis. You may cancel anytime prior to your next billing cycle to avoid future charges.
   
• All Other Services: These Services require upfront, one-time payment unless otherwise specified.
   
• Payment Failures.  If any charge is rejected by our bank or payment providers, you are still liable to pay the fees ("Fees") for the Services, as further outlined below.  We retain the right to charge interest on any overdue balance at the rate of 1.5% per month, or the maximum amount permitted by law.  You will also be responsible for our reasonable costs of collection, including attorneys’ fees, if we deem it necessary to take any legal or administrative action to collect unpaid Fees. 

• Rejection by Us.  We reserve the right to accept, refuse or cancel any orders placed through our website or manual ordering systems, without liability or justification.  We will refund you in case your order was cancelled by us after your credit card or other payment method has been charged.  Otherwise, subject to Section 4 below, refunds will not be provided if requested after your Service has begun.
   

Refunds & Credits Policy

TechTango’s offerings are designed to deliver immediate educational and operational value through proprietary materials, assessments, and customized instruction. Because of the preparation, configuration, and intellectual property involved, all purchases are considered final except as expressly provided below or as otherwise required by applicable law.

This refund and credits policy applies to all TechTango services, programs, and training engagements.

Drop-In Sessions & Subscriptions.

Customers may cancel drop-in sessions/appointments and subscription services at any time; however, partial-month refunds are not provided.  Access to any subscription-based services will continue until the end of the current billing period.

Basslines / Bootcamps.

Because TechTango Basslines / Bootcamps include proprietary TechTango pre-work materials that are distributed prior to the live session, enrollment is considered final once these materials have been released (typically five to seven days before the cohort start date).

• Full refund available within 72 hours of purchase.
• 100 % credit available up to 14 days before your cohort start date.
• 50 % credit available between 7–13 days before your cohort start date.
• No credits once TechTango pre-work materials have been distributed or within 7 days of the start date, whichever is earlier.

All participants receive access to recordings, materials, and their TechTango workspace (if applicable) to ensure continued value, even if they cannot attend live. Registrations, recordings, materials, and workspaces are non-transferable.

SoundChecks (“Unrehearsed” Assessments). 

SoundChecks (Unrehearsed) are live, rapid diagnostic assessments designed to identify a client’s current technology and risk posture in real time. Because these sessions involve immediate scheduling, preparation, and proprietary expertise, all SoundChecks (Unrehearsed) are non-refundable after the 72-hour refund window, except as required by applicable state law.

If you have not yet submitted your intake or scheduling confirmation, you may request a full refund within seventy-two (72) hours of purchase. After that time, all sales are final.

SoundCheck Trainings (Packaged & Custom Engagements).

Packaged and custom SoundCheck trainings involve advance planning, proprietary materials, and client-specific preparation.

• Full refund available within 72 hours of purchase if no agreed-upon work has begun.
• 100 % credit available up to 10 business days before the agreed start date.
• 50 % credit available up to 5 business days before the agreed start date.
• No credits once training consultation, preparation, materials customization, or live delivery has commenced, whichever occurs first. The foregoing activities may begin as early as three (3) weeks before the agreed start date.

General Consulting, Training & Speaker Services. 

Custom consulting, private training, and speaker services not otherwise covered above are scheduled engagements that often require advance coordination, preparation, and dedicated resources. Because these services begin with research, planning, and client consultation prior to delivery, all engagements are considered final once scheduling and scope confirmation have been received, except as otherwise required by applicable law.

• Full refund available within 72 hours of purchase if no preparatory work or scheduling has begun.
• 100 % credit available up to 15 business days before the scheduled service date.
• 50 % credit available up to 7 business days before the scheduled service date.
• No credits once consultation, preparation, customization, or travel planning (if applicable) has commenced, whichever occurs first. Preparation activities may begin as early as three (3) weeks before the agreed service date.

For multi-day or off-site engagements, TechTango may require written confirmation of logistics and travel arrangements. Travel costs, venue deposits, or third-party expenses already incurred on behalf of the client are non-refundable.

Credits

Unless stated above, all credits shall be subject to the following conditions:

• Credits are non-cash and non-transferable.
• Credits may be applied toward future TechTango offerings of equal or lesser value within twelve (12) months of issuance.
• Credits are valid for one (1) year from the date of issuance, unless otherwise specified in writing.
• Credits are typically processed within ten (10) business days through the same payment method originally used.
• Credits may not be redeemed for cash or combined with other promotions or discounts.
• Cancellations made after proprietary materials are released, within seven (7) days of a program start date, or after program commencement are non-creditable and non-transferable.
• In rare cases where scheduling or access delays occur before initiation of service, TechTango may, at its sole discretion, issue a one-time credit applicable to a future SoundCheck, Bassline, or other consulting service.
• If payment-processing delays or system errors outside TechTango’s control interfere with refund or credit timelines, TechTango will honor the original eligibility window once the transaction issue is resolved, provided proof of timely customer communication is available.
• All credits are issued at TechTango’s sole discretion and are governed by applicable law.

Third-Party Payment Processing,

TechTango uses secure third-party payment processors (such as GoDaddy Payments and Stripe) to handle transactions. By completing a purchase, you authorize TechTango and its processors to process your payment in accordance with their respective terms, conditions, and privacy policies.

TechTango does not control and is not responsible for errors, delays, chargebacks, or disputes arising from the operation of third-party payment systems. Any such issues must be resolved directly with the applicable payment processor. However, TechTango will cooperate in good faith to facilitate resolution where possible.

In the event a processor’s delay or error affects TechTango’s ability to issue a refund or credit within stated timeframes, TechTango will make commercially reasonable efforts to correct or honor the transaction consistent with its published policies once the processor has completed resolution.

Extenuating Circumstances.

In the event of serious illness, family emergency, or comparable hardship, TechTango may, at its sole discretion, issue a one-time credit or rescheduling option to ensure fairness and goodwill.

Cancellations by TechTango.

TechTango reserves the right to cancel or reschedule any service. If TechTango cancels, participants will receive a prorated credit or refund (as applicable under state law), provided such cancellation is not due to the participant’s breach of these Terms or the Privacy Policy.

You agree to:

• Participate respectfully in group discussions and peer-to-peer exchanges.  All information shared by any participant (a) is to be held confidential and (b) not redistributed by any means (e.g., audio/visual recordings, texts, social postings) by you with the prior permission of LexXP, its authorized representatives or the divulging participant.

• All sessions are recorded and such recordings may be shared with other LexXP representatives or our course participants.  By participating in our Services, you (a) agree to such recordings of you, your repesentatives and/or your written postings/texts, and (b) grant to us an exclusive license to reprint and reuse the foregoing.  We highly advise that you not share any information about your business, others, or yourself that is deemed confidential by you and/or you do not want to be recorded or shared in a public forum.   You are fully responsible for your own statements and other disclosures during your use of the Services, including any breach of third-party rights (e..g., third-party's confidentiality, privacy, and intellectual property rights).  You shall fully indemnify LexXP Inc.,  its representatives, and users  by you or your representatives for any violation of any third-party rights you have caused while participating in the Services
   
• Not share or redistribute our Services or related course materials without our prior written permission.
   
• Not use our Services for unlawful or disruptive purposes.

• Supply us with accurate account information,  to safeguard your passwords related to our Services, and to use industry-standard security measures to secure your technological tools (e.g., your computers, phones, tablets, etc) that you use to interface with our Services.  If your technological environment is compromised or hacked, you promise to let us know immediately, so we may implement appropriate safeguards on our end.
   

Violation of the above rules may result in removal from our Services without refund.

All LexXP and TechTango trademarks, copyrights, patents, business processes, workflows, coding,  branding, service-related materials, handouts, recordings, functionality, and website content (collectively, "Intellectual Property") are the property of LexXP Inc. unless otherwise credited.  You may not reproduce or distribute of our intellectual property without LexXP's prior written consent.

Newsletters, blogs, videos, simulcasts, and podcasts are for informational purposes only.  They do not constitute legal advice, business advice, or a substitute for professional consultation.  See Disclaimer for more detail.

Our Services  contain links to third-party web sites or services that are not owned or controlled by us.  We have no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services.  You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such web sites or services.
 

We strongly advise you to read the terms and conditions and privacy policies of any third-party we sites or services that you visit during your use of our Services. 

TechTango will run its Legal Bassline offerings in a manner compliant with most states self-reporting rules.  If you desire MCLE/CLE accreditation, please follow the instructions given and complete the necessary materials offered during your course.  Notwithstanding, LexXP Inc. is supplying certification to evidence those who successfully complete our courses.  LexXP is not responsible if your self-reporting to your state fails or does not meet your state's requirements.

We provide educational services only. We do not guarantee specific business outcomes or legal compliance.  Participation in our Services is at your own risk. To the fullest extent permitted by law, we disclaim all liability for damages arising from your use of our Services.

All provisions of therse Terms and Conditions, the Privacy Policy, and Disclaimer (see applicable links in the footer below) which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. 

We use cookies and similar technologies (pixels, local storage, and scripts) to operate this website, secure transactions, and understand usage so we can improve our Services.

What we use

• Essential cookies – required for site security, page loading, forms, and payment sessions.
   
• Analytics cookies – help us measure traffic and site performance (e.g., Google Analytics 4 via Google Tag Manager).
   
• Functional/communications – support email signup and scheduling forms (e.g., MailerLite, optional Calendly/Zoom embeds).
   
• Payments – enable checkout and fraud prevention (e.g., Stripe/GoDaddy Payments).
   

How to control cookies.  You can manage cookies in your browser settings (block, delete, or limit) and opt out of Google Analytics by using Google’s opt-out add-on. If you block essential cookies, parts of the site may not work.

Third-party providers.  Our site may load code from: GoDaddy (hosting/payments), Google (GA4/GTM), MailerLite (email forms), Stripe (payments), Zoom/Calendly (if embedded). Each provider may set its own cookies per their policies.  Please see our Technology Provider statement for more information.

Your information will be collected and processed in accordance with our Privacy Policy 

We may update these Terms and Conditions from time to time.  Updates will be posted on this page with a revised “Last Updated” date.

These Terms and Conditions are governed by the laws of New York, without regard to conflict of law provisions.
